Welcome to Buyer Nexus ("Company", "we", "our", "us"). These Terms & Conditions ("Terms") govern your access to and use of our website, applications, APIs, and services (collectively, the "Platform"). By accessing or using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.

This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of domain name https://buyernexus.ai ('Website'), including the related mobile site and mobile application (hereinafter referred to as 'Platform').

The Platform is owned by Buyer Nexus, a company incorporated under the Companies Act, 1956 with its registered office at #86, 2nd main, 5th cross, JP Nagar 7th Phase, Bangalore - 560078 India (hereinafter referred to as 'Platform Owner', 'we', 'us', 'our').

Important Notice

Your use of the Platform and services and tools are governed by the following terms and conditions ("Terms of Use") as applicable to the Platform including the applicable policies which are incorporated herein by way of reference. If You transact on the Platform, You shall be subject to the policies that are applicable to the Platform for such transaction. By mere use of the Platform, You shall be contracting with the Platform Owner and these terms and conditions including the policies constitute Your binding obligations, with Platform Owner.

These Terms of Use relate to your use of our website, goods (as applicable) or services (as applicable) (collectively, 'Services'). Any terms and conditions proposed by You which are in addition to or which conflict with these Terms of Use are expressly rejected by the Platform Owner and shall be of no force or effect. These Terms of Use can be modified at any time without assigning any reason. It is your responsibility to periodically review these Terms of Use to stay informed of updates.

For the purpose of these Terms of Use, wherever the context so requires 'you', 'your' or 'user' shall mean any natural or legal person who has agreed to become a user/buyer on the Platform.

Accessing, browsing or otherwise using the Platform indicates your agreement to all the Terms and Conditions under these Terms of Use, so please read the Terms of Use carefully before proceeding.

📋Use of Platform and Services

The use of Platform and/or availing of our Services is subject to the following Terms of Use:

To access and use the Services, you agree to provide true, accurate and complete information to us during and after registration, and you shall be responsible for all acts done through the use of your registered account on the Platform.

Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials offered on this website or through the Services, for any specific purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.

Your use of our Services and the Platform is solely and entirely at your own risk and discretion for which we shall not be liable to you in any manner. You are required to independently assess and ensure that the Services meet your requirements.

The contents of the Platform and the Services are proprietary to us and are licensed to us. You will not have any authority to claim any intellectual property rights, title, or interest in its contents. The contents includes and is not limited to the design, layout, look and graphics.

You acknowledge that unauthorized use of the Platform and/or the Services may lead to action against you as per these Terms of Use and/or applicable laws.

You agree to pay us the charges associated with availing the Services.

You agree not to use the Platform and/or Services for any purpose that is unlawful, illegal or forbidden by these Terms, or Indian or local laws that might apply to you.

You agree and acknowledge that website and the Services may contain links to other third party websites. On accessing these links, you will be governed by the terms of use, privacy policy and such other policies of such third party websites. These links are provided for your convenience for provide further information.

You understand that upon initiating a transaction for availing the Services you are entering into a legally binding and enforceable contract with the Platform Owner for the Services.

You shall indemnify and hold harmless Platform Owner, its affiliates, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorney's fees, made by any third party or penalty imposed due to or arising out of Your breach of this Terms of Use, privacy Policy and other Policies, or Your violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party.

Notwithstanding anything contained in these Terms of Use, the parties shall not be liable for any failure to perform an obligation under these Terms if performance is prevented or delayed by a force majeure event.

These Terms and any dispute or claim relating to it, or its enforceability, shall be governed by and construed in accordance with the laws of India.

All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

Additional Terms

1Eligibility

To use the Platform you must be at least 18 years old and legally capable of entering into binding agreements. By using the Platform you represent and warrant that the information you provide is accurate, current, and complete.

2User Responsibilities and Account Security

Account Registration

  • To access certain services you must register and create an account with accurate and complete information.
  • You are responsible for maintaining the confidentiality of your account credentials, passwords, and API keys.
  • You are fully responsible for all activity that occurs under your account, including actions by team members or sub-users.
  • Notify us immediately if you suspect unauthorized access to your account at info@buyernexus.in.

User Obligations

  • Provide accurate, current, and complete information during registration and use.
  • Comply with all applicable laws, regulations, and third-party policies (including WhatsApp/Meta Business policies, Facebook Lead Ads Terms, and Meta Platform Terms).
  • Obtain necessary consents from end-users before sending messages or collecting their data (including consent for lead capture through Facebook Lead Ads).
  • When using Facebook Lead Ads integration, comply with Meta's advertising policies, data use policies, and lead generation best practices.
  • Use the Platform only for lawful business purposes.
  • Maintain adequate security measures for data accessed through our services.
  • Promptly update account information if there are any changes.
  • Not share account access with unauthorized parties.

Features, functionality, and availability may change from time to time. We reserve the right to update, modify, or discontinue services with or without prior notice. Service level agreements (SLAs) for enterprise customers will be governed by separate written agreements.

4Usage Restrictions and Acceptable Use Policy

You agree not to use the Platform for any unlawful, abusive, or fraudulent activities. Prohibited activities include but are not limited to:

🚫Messaging and Communication Restrictions

  • Sending spam, unsolicited marketing, or content that violates WhatsApp/Meta policies, Facebook advertising policies, or Community Standards.
  • Sending messages without proper user consent or opt-in.
  • Using Facebook Lead Ads for prohibited content, deceptive practices, or in violation of Meta's Lead Ads policies.
  • Using the platform for phishing, scams, or fraudulent communications.
  • Sending abusive, threatening, or harassing messages.
  • Impersonating any person or entity.

🔧Technical Restrictions

  • Uploading malware, viruses, trojans, or harmful code.
  • Attempting to gain unauthorized access to our systems or other users' accounts.
  • Interfering with or disrupting the security, performance, or availability of the Platform.
  • Reverse engineering, decompiling, or attempting to extract source code.
  • Using automated scripts or bots to access the Platform without authorization.
  • Overloading our servers or attempting denial-of-service attacks.

📝Content Restrictions

  • Posting or transmitting illegal, obscene, or offensive content.
  • Violating intellectual property rights of others.
  • Sharing false, misleading, or defamatory information.
  • Collecting or harvesting personal data without consent.

🏢Business Use Restrictions

  • Reselling or sublicensing our services without written permission.
  • Using the Platform to compete with Buyer Nexus.
  • Sharing account access with unauthorized third parties.

⚠️ Enforcement: We reserve the right to suspend or terminate accounts that violate these rules without prior notice. Violations may also result in legal action and reporting to law enforcement authorities. You will be liable for any damages or losses incurred due to your violations.

5Fees, Payments and Billing Terms

Pricing and Fees

  • Subscription fees, messaging credits, and service charges will be clearly disclosed before purchase on our pricing page or during checkout.
  • Prices are subject to change with 30 days notice for existing customers.
  • Enterprise customers may have custom pricing as per their service agreement.

Payment Terms

  • Subscription fees are billed monthly or annually in advance, as selected.
  • All payments must be made in Indian Rupees (INR) unless otherwise agreed.
  • Payment must be made via accepted methods: credit/debit cards, UPI, net banking, or bank transfer.
  • Automatic renewal applies unless you cancel before the renewal date.
  • Failed payments may result in service suspension until payment is received.
  • A grace period of 7 days may be provided for failed payments before service termination.

Refunds and Credits

  • All fees are generally non-refundable unless otherwise required by law or explicitly stated in our Refund Policy.
  • Unused messaging credits may be eligible for refund as per our refund policy.
  • Refunds for annual subscriptions may be pro-rated based on unused months.

Taxes

  • You are responsible for all applicable taxes (including GST/VAT) associated with your purchases.
  • Taxes will be calculated and added to your invoice as per Indian tax laws.
  • Valid GST registration numbers should be provided for B2B invoicing.

⚠️ Important: Failure to make timely payments may result in service interruption or termination. Outstanding balances may be subject to interest charges and collection efforts. Customer payment failures due to incomplete or missing terms may result in transaction decline.

6Intellectual Property Ownership and Rights

Our Intellectual Property

  • All content, software, technology, trademarks, logos, designs, and materials on the Platform are the exclusive property of Buyer Nexus or our licensors.
  • This includes but is not limited to: source code, object code, algorithms, databases, user interfaces, designs, graphics, text, and documentation.
  • The Buyer Nexus name, logo, and all related trademarks are protected by intellectual property laws.
  • You are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.

Restrictions on Use

  • You may not copy, modify, distribute, sell, or lease any part of our Platform or services.
  • You may not create derivative works, reverse engineer, or attempt to extract source code.
  • You may not use our trademarks, logos, or branding without prior written permission.
  • You may not frame, mirror, or scrape our Platform without authorization.
  • You may not remove or alter any copyright, trademark, or proprietary notices.

Your Content

  • You retain ownership of all content and data you upload to the Platform ("User Content").
  • By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and transmit your content solely to provide and improve our services.
  • You represent and warrant that you own or have necessary rights to all User Content.
  • You are responsible for ensuring your User Content does not violate any third-party intellectual property rights.

Feedback and Suggestions

Any feedback, suggestions, or ideas you provide about the Platform become our property. We may use such feedback without any obligation to you.

7Third-Party Services and Integrations

The Platform integrates with various third-party services to provide enhanced functionality. Your use of these services is subject to their respective terms and policies:

Meta/Facebook Services

WhatsApp Business API

Message sending and customer communication through WhatsApp. Our Platform supports two integration models:

User-Managed:You can integrate your own WhatsApp Business API account by providing your own API credentials and managing your direct relationship with Meta/WhatsApp.
Platform-Provided:Alternatively, you may use our managed WhatsApp Business API services where available.

All WhatsApp integrations are subject to WhatsApp Business API Terms and Meta Business Terms.

Facebook Lead Ads

Lead capture and form submissions from Facebook advertising campaigns. Subject to Facebook Lead Ads Terms, Meta Platform Terms, and Facebook Advertising Policies.

User-Managed WhatsApp Business API

When you integrate your own WhatsApp Business API account:

  • You maintain direct control and ownership of your WhatsApp Business account with Meta
  • You are solely responsible for compliance with all Meta/WhatsApp policies, terms, and guidelines
  • Buyer Nexus acts as a technology platform/infrastructure provider that enables integration
  • You must obtain and maintain all necessary approvals, licenses, and permissions from Meta
  • Any disputes or issues with Meta/WhatsApp must be resolved directly between you and Meta
  • You are responsible for all costs, fees, and charges associated with your WhatsApp Business API account

You are responsible for maintaining compliance with all Meta platform policies, including but not limited to data use policies, advertising policies, and community standards. Any violation may result in suspension of your access to these integrations.

Other Third-Party Services

Payment processors, SMS providers, email services, and other third-party integrations. Each service has its own terms and conditions that you must comply with.

⚠️ Important Notice: We are not responsible for third-party services, their availability, performance, or policy changes. Any disputes with third parties (including Meta/Facebook) must be resolved directly with them. Changes to third-party terms may affect your use of our Platform's integrated features.

8Data and Privacy

By using our services you consent to our collection and use of your data as described in our Privacy Policy.

WhatsApp Business API

If you use Buyer Nexus to send messages via WhatsApp, you must obtain any required consents and comply with applicable messaging and privacy laws, including WhatsApp's opt-in requirements.

Facebook Lead Ads

When using Facebook Lead Ads integration, you agree to:

  • Comply with Meta's data use policies and lead generation terms
  • Handle lead data in accordance with applicable privacy laws (GDPR, CCPA, DPDP, etc.)
  • Provide clear privacy disclosures to users submitting lead forms
  • Not share lead data with unauthorized third parties
  • Honor user data deletion and access requests as per our Privacy Policy
  • Use lead data only for the purposes disclosed in your lead form

You are solely responsible for your compliance with all applicable data protection laws when using our Platform's integrations with Meta services.

9Disclaimers

The Platform is provided "as-is" and "as-available" without warranties of any kind, whether express or implied. We do not guarantee uninterrupted service or fitness for a particular purpose.

10Limitation of Liability and Disclaimers

⚠️ Important Legal Notice

Please read this section carefully as it limits our liability and affects your legal rights.

Limitation of Liability

  • To the maximum extent permitted by applicable law, Buyer Nexus, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • This includes but is not limited to: loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings, whether or not foreseeable.
  • Our aggregate liability for all claims related to the Platform shall not exceed the total amount you paid to Buyer Nexus in the three (3) months immediately prior to the claim arising.
  • If you have not paid any fees, our liability shall not exceed ₹1,000 (One Thousand Indian Rupees).
  • These limitations apply regardless of the legal theory (contract, tort, negligence, or otherwise) and whether or not we have been advised of the possibility of such damages.

Specific Disclaimers

  • We are not liable for any failures, delays, or issues caused by third-party services (including WhatsApp/Meta, payment gateways, or hosting providers).
  • We are not responsible for message delivery failures, blocking, or rate limiting imposed by WhatsApp/Meta or other third-party platforms.
  • We are not liable for any losses resulting from unauthorized access to your account due to your failure to maintain account security.
  • We do not guarantee that the Platform will be error-free, uninterrupted, or meet your specific requirements.
  • We are not responsible for any content, messages, or data transmitted by users through the Platform.

Indemnification by User

You agree to indemnify, defend, and hold harmless Buyer Nexus and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Platform, (b) your violation of these Terms, (c) your violation of any laws or third-party rights, or (d) any content or messages you send through the Platform.

11Termination

We may suspend or terminate your account and access to the Platform if you breach these Terms or if required by law. You may stop using our services at any time. Upon termination, we will handle data in accordance with our Privacy Policy and any DPA in place.

12Dispute Resolution, Governing Law & Jurisdiction

Governing Law

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India.

Dispute Resolution Procedure

Informal Resolution

Before initiating formal proceedings, you agree to first contact us at info@buyernexus.in to attempt to resolve any dispute informally. We will make reasonable efforts to resolve the matter within 30 days of receiving your notice.

Mediation (Optional)

If informal resolution fails, parties may agree to resolve the dispute through mediation before pursuing litigation. The mediation shall be conducted in Pune, Maharashtra, India.

Arbitration or Litigation

If mediation is unsuccessful or not pursued, disputes may be resolved through:

  • Arbitration: By mutual agreement, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed by mutual consent, and the seat of arbitration shall be Pune, Maharashtra, India.
  • Litigation: Any disputes not resolved through arbitration shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

Jurisdiction

You irrevocably submit to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India for any legal proceedings arising out of or relating to these Terms or the Platform, except as otherwise required by mandatory consumer protection laws.

Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Language: All dispute resolution proceedings shall be conducted in English.

13Changes to These Terms

We may update these Terms periodically. We will post the revised Terms on this page and, for material changes, provide notice to account administrators. Continued use after posting constitutes acceptance of the updated Terms.
